Terms of Service

1. Eligibility and Acceptance

You must be at least 13 years old, or the minimum age required in your jurisdiction to use the Service, and capable of forming a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Service.

2. Accounts and Security

You may need to create an account to use some features. You agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for all activity that occurs under your account and for maintaining the security of your devices, credentials, and phone number. Notify us promptly if you believe your account has been compromised or your phone number is no longer under your control.

3. Phone Number Authentication

The Service may allow or require sign-in using a phone number. By providing your phone number, you authorize ThoughtAhead, Inc. and its service providers to send one-time passcodes, login links, security alerts, and other transactional messages needed to authenticate you and protect the Service.

You represent that you are authorized to receive messages at the phone number you provide. Message and data rates may apply, and message delivery depends on your carrier and other third parties. Carriers are not responsible for delayed or undelivered messages.

You may not use a phone number that is not yours or that you are not authorized to use. If your number changes, is reassigned, or becomes inaccessible, you are responsible for updating your account as soon as reasonably possible.

4. Acceptable Use

You agree not to:

• Use the Service in violation of any law or regulation.
• Infringe or violate the rights of others, including privacy, publicity, or intellectual property rights.
• Access or attempt to access accounts, systems, or data without authorization.
• Interfere with or disrupt the Service, including by introducing malicious code or abusing rate limits.
• Use the Service to send spam, harassing content, deceptive messages, or unlawful material.
• Reverse engineer, scrape, or copy the Service except as permitted by law.

5. User Content and Feedback

If the Service allows you to upload, submit, or share content, you retain ownership of any rights you have in that content. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify as technically necessary, and display that content solely to operate, improve, and provide the Service.

If you send suggestions, ideas, or feedback, you allow us to use them without restriction or obligation to you.

6. Intellectual Property

The Service, including its software, design, text, graphics, trademarks, and other content, is owned by or licensed to ThoughtAhead, Inc. and is protected by applicable intellectual property laws. Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you.

7. Third-Party Services

The Service may rely on or link to third-party products and services, including hosting, analytics, authentication, and communications providers. We are not responsible for third-party services, and your use of them may be governed by their separate terms and privacy policies.

8. Paid Features

If we offer paid subscriptions, features, or purchases, the applicable pricing and billing terms will be presented to you at the time of purchase. Unless otherwise stated, fees are non-refundable to the maximum extent permitted by law.

9. Availability and Changes

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.

10. Suspension and Termination

We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms, created risk for other users, exposed us to legal liability, or used the Service in a harmful or fraudulent way.

You may stop using the Service at any time. Sections that by their nature should survive termination will survive, including sections relating to intellectual property, disclaimers, limitations of liability, and dispute resolution.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. ThoughtAhead, Inc. DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ThoughtAhead, Inc. AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnity

To the maximum extent permitted by law, you agree to indemnify and hold harmless ThoughtAhead, Inc. and its affiliates, officers, employees, agents, and service providers from and against claims, losses, liabilities, damages, costs, and expenses arising out of or related to your use of the Service, your content, or your violation of these Terms or applicable law.

14. Governing Law and Disputes

These Terms are governed by the laws applicable in the jurisdiction where ThoughtAhead, Inc. is organized, without regard to conflict of laws principles. Before filing a claim, you agree to contact us first and attempt to resolve the dispute informally.

If a dispute cannot be resolved informally, it will be brought in the courts with appropriate jurisdiction where ThoughtAhead, Inc. is based, unless applicable law requires otherwise.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the revised version here and update the "Last updated" date above. By continuing to use the Service after the updated Terms become effective, you agree to the revised Terms.
